Valencia Agent Resources Program and Broker Relations/Guidelines and Terms of Use
It is the intent of The Newhall Land & Farming Company (A California Limited Partnership) (“Newhall”) to work cohesively with Brokers and Agents to provide updates and current information via email and the Valencia Agent Resources portal and to provide exclusive Broker/Agent events on a regular basis.
We appreciate the support and continued enthusiasm from the real estate community, and we look forward to your participation in promoting sales of the exciting new homes that are coming to Valencia in the near future.
In an effort to help clarify and create a mutually beneficial communication and business relationship with Brokers and Agents, the following Guidelines and Terms of Use are presented for your review and future reference in relation to the promotion of new home sales at Valencia. By joining the Valencia Agent Resources Program, you expressly agree to comply with and be bound by these Guidelines and Terms of Use.
All co-op and commissions questions should be directed to the applicable homebuilder partner (each, a “Builder”). Newhall is in no way responsible for any Broker/Agent commissions.
GUIDELINES:

In order to be eligible to receive notification of new Valencia Community information, events, and assets available to Brokers/Agents, Broker/Agent must register on Agents.Valencia.com.

Approval is subject to verification of current State of California Real Estate License and said approval and access is exclusive, individual and personal and is not to be shared with any other Broker/Agent or group.

Any photography of the Valencia Community, whether taken on-site or via drone, is prohibited. Broker/Agent may request approval to conduct a photo/video shoot from Newhall. (See Terms of Use Below).

Any use of Valencia Logos, Design Marks and Plain Word Trademarks is prohibited except as expressly outlined in the Terms of Use Below.

Broker/Agent, via any type of social media, email, direct mail, or other type of communication or marketing material, shall not interfere, confuse or compete with Newhall, or any Valencia Builder Partner’s efforts to collect registrations and create interest lists for the community.

Broker/Agent shall not publish any false/inaccurate information, including but not limited to, publishing photographs and materials of homes and other amenity descriptions that misleadingly give customers the impression that they are future products of the Valencia development.

In all cases, if permission is granted for access to certain Valencia assets (such as photography/video/etc.), it is understood that this in no way implies that said Broker/Agent exclusively represents new home sales at Valencia, nor is Broker/Agent in any way associated with Newhall or any Builder associated with Valencia.

Broker/Agent may not solicit homebuyers on Builder’s property, including inside the model homes, or at any Preview Event. Broker/Agent may not solicit homebuyers at the Valencia Visitor/Welcome Center.
TERMS OF USE:
Photography/Videography/Maps/Imagery

Broker/Agent must register on Agents.Valencia.com for access to approved photography, videography, maps, imagery, and other downloadable flyers (collectively, “Image Assets”) that are licensed for use by Broker/Agent for the express and limited purpose of promoting new home sales in the Valencia Community pursuant to Paragraph 2, below.

Subject to the rights, obligations, restrictions, and limitations herein, Newhall hereby grants to each Broker/Agent who is validly registered through Agents.Valencia.com (each, a “LICENSEE”) a non-transferable, non-assignable, revocable, and non-exclusive right, without the right to sublicense, to use the Image Assets solely in connection with LICENSEE’s promotion of new home sales in the Valencia community and expressly subject to these Terms of Use.

Newhall reserves the right as owner and/or assignee of the Image Assets to specify all aspects of use of the Image Assets, including but not limited to, the manner, place, type, form, layout, design, media of or for such use, on or in connection with, all displays, advertising, labels, product literature, Internet sites, promotional materials, and all other forms of use of the Image Assets.

All use of the licensed Image Assets shall inure to the benefit of Newhall.

LICENSEE will comply with any Image Asset rules or guidelines as listed in herein and as may be provided to LICENSEE from time to time, which may be amended or revised by Newhall upon written notice.

LICENSEE may send a request to Newhall for permission to use additional imagery; however, only photography, videography, maps, and imagery that appear on Valencia.com or that are made available to LICENSEE via special portal accessible through Agents.Valencia.com will be considered for use. If permission to use additional imagery is granted, then any use of additional imagery is subject to the license terms in Paragraph 2 and all other applicable terms and conditions herein.

Any permissions granted are exclusive, individual and personal to LICENSEE holding the approved registration, and use of materials may not be shared with any other individual or group. All Image Assets are the exclusive property of Newhall. At the request of Newhall, LICENSEE will at all times include any disclaimer(s) or notice(s) provided by Newhall related to use and license of the Image Assets.

LICENSEE may send a request to Newhall for permission to photograph/video new homes and amenities at Valencia for the purpose of promoting new home sales. Newhall reserves the right, in its sole discretion, to refuse all or portions of such request, and reserves the right to review, restrict, limit, and/or approve how any such photography or videos will be used, posted or distributed.

At the request Newhall, LICENSEE will submit any proposed uses of the Image Assets for review and written approval. Newhall retains sole and complete discretion to require any changes to or disapprove use of the Image Assets or related content. LICENSEE is required, at Newhall’s sole discretion, to correct or remove any information requested by Newhall.

LICENSEE shall not alter, distort, manipulate or modify any of the Image Assets. LICENSEE shall not remove the “Valencia” watermark or any other copyright management information from the Image Assets.
Trademarks

LICENSEE may utilize VALENCIA trademarks as shown on any Image Assets authorized for use on the Agent Resources portal. LICENSEE shall not alter, distort, manipulate or modify any of the VALENCIA trademarks. LICENSEE may use the VALENCIA trademark in a geographically descriptive manner to identify the location of the community, Any further use of the VALENICA mark, or any other trademarks owned by Newhall, is expressly prohibited without the express prior written approval of Newhall.

Nothing herein shall be construed to grant LICENSEE any rights or license to any trademark, trade name, certification mark, service mark, domain name, product name, logo, patent, or technical information of Newhall. All VALENCIA trademarks are the property of Newhall or its affiliates and Newhall retains the exclusive right, title, and interest to all trademarks.

Newhall retains sole and complete discretion to require any changes to or disapprove use of the VALENCIA trademarks or related content.

The use of the words Valencia in the first instance on a LICENSEE website should include a direct link to the Valencia website (Valencia.com). LICENSEE may send a request to Newhall for permission to incorporate a direct link to Valencia.com in conjunction with the promotion of new home sales at Valencia. Newhall reserves the right, in its sole discretion, to refuse all or portions of such request.

If granted, Newhall reserves the right to review and approve how said link and any associated verbiage/marketing language would be used and where it would be posted or distributed.

In all cases, if permission is granted, it is understood that said link in no way implies that said LICENSEE exclusively represents new home sales at Valencia, nor are they in any way associated with Newhall or any Builder associated with Valencia.
BROKER/AGENT INFORMATION REGARDING CLIENT/BROKER/AGENT REGISTRATIONS ON BUILDER WEBSITES:

By registering on Agents.Valencia.com, you will be placed on an interest list to receive updates and future information about Valencia, this does not constitute being placed on an interest list to purchase or reserve the opportunity to purchase a new home.

To be placed on an interest list to purchase a home at any of the neighborhoods being offered for sale within Valencia, you must visit each individual Builder’s website to register.

Please be advised that each Builder has specific guidelines regarding registration for homebuyers and real estate brokers.

Agents are subject to the registration requirements as set forth by each individual Builder. In most cases, Agent must accompany you and register as the client’s Agent at, or prior to, the first visit to tour the neighborhood, whether it be in person, via an on-line appointment for a self-guided tour, or via a virtual tour of the community.
AGENT / BROKER CODE OF CONDUCT:
Any violation of the above Guidelines and Terms of Use may result in enforcement of Newhall’s legal rights, as applicable. Non-compliance may also result in Newhall filing a complaint with the California Department of Real Estate and possible further legal action.
Newhall has sole and complete discretion to remove any Realtor from its Broker Registration list.
